2.0 Participation Fees and 2.0 Licensee in Good Standing Definitions

Fee Schedule: The annual fee per 2.0 Participant is set forth in the following table. Annual fees shall be due within ninety (90) days of receipt of an invoice from OIN. A 2.0 Participant that executes the Agreement part way through the calendar year will pay a pro rata portion of the annual fee for that year. The pro rata portion will be invoiced on the date of execution of the Agreement. In no event are Fees subject to refund. A company that does not wish to disclose such company’s annual revenue may pay the Tier 1 2.0 Participation Fee. Payment of the Tier 1 2.0 Participation Fee is not an admission of the corresponding amount of annual revenue.

Updates: The Fee Schedule set forth above may be updated from time to time by the OIN Board of Directors and such updates shall not constitute an amendment of this Agreement. OIN may waive or discount fees from time to time for particular OIN Licensees or for particular periods of time to attract new OIN Licensees or for other purposes approved by the OIN Board of Directors.

A “2.0 Licensee in Good Standing” means a 2.0 Licensee that has met the requirements for timely payment of applicable 2.0 Participation Fees in accordance with OIN policies approved by the OIN Board of Directors.
